Mutual Non-Disclosure Agreement

Between BOSSTORQUE LLC and the undersigned party

1. Parties

This Mutual Non-Disclosure Agreement is between BOSSTORQUE LLC, an Oregon limited liability company, and the individual completing this assessment on behalf of their business.

2. Purpose

The parties wish to explore a potential consulting relationship. Each party may disclose confidential information; this agreement governs how that information is handled.

3. Confidential Information

Includes business operations, financial data, customer lists, pricing, processes, personnel, systems, workflows, strategies, and anything submitted through this assessment. Excludes information already public, independently developed, or received from a third party without restriction.

4. Obligations

Each party will hold the other's confidential information in strict confidence, not disclose it to third parties without written consent, use it solely for this engagement, and limit access to personnel with a need to know.

5. BOSSTORQUE's Commitments

All assessment data is used exclusively to prepare the Client's PowerLeak Report and conduct the Discovery Interview. We will not sell, share, or disclose Client business information to any third party.

6. Client's Commitments

Client will not disclose, reproduce, or distribute BOSSTORQUE's proprietary assessment methodology, report format, frameworks, or pricing.

7. Term

Effective on electronic acceptance, in force for two (2) years or until a superseding written agreement is executed.

8. Remedies

Disputes resolved exclusively by binding arbitration under AAA rules, single arbitrator, in Lane County, Oregon. Each party waives jury trial. If the respondent (defending party) prevails on all material claims, the claimant bears all arbitration fees and reasonable attorneys' fees.

9. Governing Law

Governed by the laws of the State of Oregon. Disputes not resolved by arbitration are venued in Lane County, Oregon.

10. Electronic Signature

Typing your name and checking the box below constitutes a valid binding signature under E-SIGN and UETA.
